These Terms & Conditions ("Terms") govern your use of services provided by JB Ventures LLC and its affiliated entities ("we," "us," or "our"), including the JB Ventures Operational SMS Program. By using our services or opting in to SMS messages from us, you agree to these Terms.

1. Acceptance of Terms

By interacting with our business — including by providing your phone number, opting in to SMS messages, or engaging in a business or employment relationship with us — you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. JB Ventures Operational SMS Program

The JB Ventures Operational SMS Program sends transactional text messages related to our operations. Message types include:

• Customer communications: order, pickup, and delivery receipts and pre-arrival notifications sent to farm and freight customers.
• Employee operational communications: schedule, clock-in, timekeeping, payroll, and time-off notifications sent between JB Ventures and its employees.
• Dispatch and hauling communications: dispatch, route, load, and rate-confirmation notifications sent to JB Ventures drivers and hauling customers.
• Document and account communications: signature, document, and account notifications related to ongoing business relationships.

• Opt-in: You consent to receive SMS messages by providing your phone number and opting in through a form, signature, verbal confirmation, or as part of a written employment or service agreement with JB Ventures. • Frequency: Message frequency is event-driven and varies based on your business or employment relationship with us. Most recipients receive a few messages per day during active operations.
• Opt-out: Reply STOP to any message to unsubscribe. You will receive one confirmation message, after which we will stop sending SMS to that number.
• Help: Reply HELP to any message or contact us at the information below.
• Message and data rates: Message and data rates may apply from your carrier. We are not responsible for such charges.
• Supported carriers: Our SMS program is available across major U.S. carriers. Carriers are not liable for delayed or undelivered messages.

3. Acceptable Use

You agree not to:

• Use our services for any unlawful purpose or in violation of any applicable law or regulation.
• Harass, abuse, or harm other individuals through our communication channels.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Interfere with or disrupt our services, systems, or other users' access to them.

4. Intellectual Property

All content, branding, and materials provided by us — including website content, SMS message templates, and business materials — are owned by JB Ventures LLC or our licensors and are protected by applicable intellectual property laws. You may not reproduce or distribute our content without prior written consent.

5. Disclaimer of Warranties

Our services, including the SMS program, are provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied. We do not warrant that the service will be uninterrupted, error-free, or free of viruses or other harmful components. We make no guarantee regarding message delivery times or reliability, which depend on carrier networks outside our control.

6. Limitation of Liability

To the maximum extent permitted by law, JB Ventures LLC and its affiliated entities shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services or SMS program, including but not limited to lost profits, lost data, or business interruption, even if we have been advised of the possibility of such damages.

7. Indemnification

You agree to indemnify and hold harmless JB Ventures LLC, its affiliates, officers, employees, and agents from any claims, damages, liabilities, or expenses arising out of your violation of these Terms, your misuse of our services, or your violation of any rights of another party.

8. Termination

We reserve the right to suspend or terminate your access to our services, including our SMS program, at any time and for any reason, including violation of these Terms. You may terminate your use of our SMS program at any time by replying STOP to any message.

9. Modifications

We may update these Terms at any time. Continued use of our services or SMS program after changes constitutes acceptance of the updated Terms. The "Last Updated" date above reflects the most recent revision.

10. Governing Law

These Terms are governed by the laws of the State of Iowa, without regard to its conflict of law principles. Any disputes arising from these Terms or your use of our services shall be resolved in the state or federal courts located in Woodbury County, Iowa.
